These Terms of Use ("Terms") are an agreement between you and Brainants Technology Pvt. Ltd. ("Brainants", "we", "us") for the Nepal Share mobile app, the website nepal-share.com and related services (the "Service"). By installing or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Who can use it#
You must be at least 18 years old, or the age at which you can legally hold shares where you live, to buy Premium or import a MeroShare account. You are responsible for anyone who uses the Service with your account.
The Service#
Nepal Share shows data about the Nepal Stock Exchange (NEPSE) and related markets: index values, prices, floorsheet, market depth, company information, IPO and dividend announcements, news, gold, silver and exchange rates. It lets you keep portfolios, watchlists, notes and price alerts, import transactions from your MeroShare account, check IPO results for saved BOIDs, and read an AI-generated market summary. Some features need an account and some need Premium. We may add, change or remove features, and we will give notice in the app when a change affects what you paid for.
Market data#
Market data comes from NEPSE, CDSC, Nepal Rastra Bank, FENEGOSIDA and other public sources, and is provided "as is". It may be delayed, incomplete or wrong, and the Service may be unavailable during market hours. Your broker's trading system and the official NEPSE, CDSC and SEBON websites are the sources of record. Do not place a trade based only on what you see in Nepal Share.
Not investment advice#
Nothing in the Service is investment, financial, legal or tax advice, a recommendation, or an offer to buy or sell any security. Alerts, analyses, broker flow, AI summaries and news are information only. The AI market summary is generated automatically; it can be wrong or miss things and is not an official NEPSE statement. Brainants is not a securities businessperson, investment adviser, portfolio manager or broker licensed by the Securities Board of Nepal (SEBON). You alone are responsible for your investment decisions and for any loss that follows from them.
Your account#
You sign in with Google, Apple, Facebook or email. Keep your sign-in secure and tell us if you think someone else is using it. You may use the optional biometric lock, which runs on your device. We may suspend or close an account that breaks these Terms, abuses the Service or has been inactive for a long time; we will try to warn you first.
What you add#
You own the portfolios, transactions, notes, watchlists and BOIDs you add. You give us permission to store, process and display them so the Service can work for you, including on your other devices. Add only data you have the right to add. Notes must not contain unlawful content, other people's personal data, or anything that infringes someone's rights. You can export your portfolio to PDF or CSV from the app and delete your data at any time.
MeroShare and IPO results#
When you import from MeroShare you sign in to CDSC's website inside the app. You are responsible for keeping those credentials safe and for complying with CDSC's terms. The import reads only your transaction list. IPO result checks send the BOID you saved to CDSC's public result service. We are not connected to CDSC, NEPSE or SEBON and do not guarantee that these services will stay available.
Premium#
Premium is a one-time pass for 3, 6 or 12 months that unlocks the features listed in the app at the time of purchase (for example every live update, more portfolios and alerts, the AI market summary, analysis tools, the NEPSE Live Activity on iPhone, and no ads). It is not a subscription. It does not renew and we never charge you again unless you buy another pass. If you buy a pass while one is active, the new months are added to the end of the current one. Premium is tied to your account and works on every device you sign in to. We may change Premium prices and contents for future purchases; a pass you already bought keeps what it promised.
Payments and refunds#
The price is shown in the app before you pay, in the currency of the payment method, and may include tax.
- Apple In-App Purchase (iPhone outside Nepal). Apple bills you and handles refunds under Apple's terms. Request a refund at reportaproblem.apple.com. If Apple refunds a purchase, the months it bought are removed from your account.
- eSewa, Khalti and card (Stripe). You can ask for a refund within 7 days of purchase by emailing refund@nepal-share.com with the transaction ID and the email on your account. We will refund the full amount to the wallet or card you paid with, and the Premium pass ends when the refund is made. After 7 days, purchases are not refundable.
For any other payment question, email support@nepal-share.com with the transaction ID.
Acceptable use#
You agree not to: copy, scrape, resell or redistribute the Service's data; reverse engineer the app or interfere with its servers; use automated tools to access the Service except through interfaces we provide; circumvent Premium or ad controls; upload malicious code; or use the Service to break any law. We may rate-limit, suspend or block use that harms the Service or other users.
Ads and third-party services#
The free plan shows ads provided by Google AdMob. The Service links to and relies on third-party services (NEPSE, CDSC, MeroShare, payment providers, sign-in providers, MeroSamriddhi). Their terms apply to your use of them and we are not responsible for them.
Intellectual property#
The Nepal Share app, website, design, text, code and trademarks belong to Brainants or its licensors. These Terms give you a personal, non-transferable, revocable license to use the app on devices you own or control. You may not use our name or logo without permission.
Ending the agreement#
You can stop using the Service and delete your account at any time from Profile, then Delete account, or by writing to us. We can end or suspend your access if you break these Terms. When the agreement ends, your license ends and your data is deleted as described in the Privacy Policy. Sections that by their nature should survive (market data, not investment advice, liability, governing law) survive.
Disclaimer of warranties#
The Service is provided "as is" and "as available". To the extent the law allows, we make no promise that it will be accurate, uninterrupted, error-free or fit for a particular purpose.
Limitation of liability#
To the extent the law allows, Brainants is not liable for any trading loss, lost profit, lost data or indirect or consequential damage arising from the Service or from reliance on its data. Our total liability for any claim is limited to the amount you paid us for Premium in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited under the law of Nepal.
Indemnity#
You will compensate Brainants for claims, losses and costs caused by your breach of these Terms or your misuse of the Service.
Apple App Store#
If you downloaded the app from the App Store, Apple's standard Licensed Application End User License Agreement also applies. These Terms are between you and Brainants, not Apple. Apple has no obligation to provide maintenance or support, is not responsible for any claim relating to the app, and is a third-party beneficiary of these Terms and may enforce them against you. You confirm that you are not in a country subject to a United States government embargo and are not on any United States government list of prohibited parties.
Governing law and disputes#
These Terms are governed by the laws of Nepal. If we have a dispute, we will first try to settle it by talking to each other; if that fails within 30 days, the courts of Kathmandu, Nepal have jurisdiction.
Changes#
We may update these Terms. We will post the new version here with a new effective date and, for material changes, tell you in the app. Using the Service after a change means you accept it.
